Payment Terms

Limitation of Liability

ClosedChats AI's liability is limited to the total amount paid for services. We are not liable for:

  • Indirect, incidental, or consequential damages
  • Business interruption or lost profits
  • Data loss due to client system failures
  • Third-party service disruptions beyond our control

Termination

Termination by Client

  • 30-day written notice for ongoing services
  • Payment due for completed work and expenses
  • Data export assistance provided upon request

Termination by ClosedChats AI

  • Material breach of agreement after 15-day cure period
  • Non-payment after 30-day notice
  • Immediate termination for illegal or harmful use

Dispute Resolution

Disputes will be resolved through:

  1. Good faith negotiation between parties
  2. Mediation with mutually agreed mediator
  3. Binding arbitration if mediation fails
